      Medisaver Medical Discount Plan Provider Agreement

      This agreement ("Agreement") is made between the Medisaver Medical Discount Card ("Medisaver") and the undersigned doctor or clinic ("Provider"). By entering into this Agreement, the Provider agrees to the following terms and conditions:

      1. Discount Services: This Agreement entitles active Medisaver members to predetermined discounts on medical consultations, procedures, and services at the Provider's office. Members with an active Medisaver membership will receive services at the negotiated discounted rates. Payment for all medical services will be made directly by the patient to the Provider. It is the Provider's sole responsibility to ensure full payment for services rendered (at the discounted rate) at their facility. Any patient presenting an expired Medisaver membership must be charged the regular office price, without the discounted rate. Medisaver will only collect the annual membership fee from its members.

      2. No Fees for Participation: Medisaver does not charge the Provider any fees to become an associated center. The Provider is expected to comply with this Agreement and extend the pre-negotiated discounts to Medisaver members.

      3. Term of Agreement: This Agreement is valid for one year from the date of signing, unless otherwise agreed upon by both Medisaver and the Provider. Upon expiration, the Provider may choose to continue or discontinue the Agreement with Medisaver.

      4. Liability: Any claims of negligence or misconduct are strictly between the Provider and the patient. Medisaver-associated centers are independent businesses and are not liable for any disputes arising from the medical services provided.

      5. Licensure and Qualifications: By accepting the terms of this Agreement, the Provider affirms that they are licensed to practice medicine in the United States and possess all necessary qualifications to provide medical services.

      6. Membership Renewal: Patients with an expired Medisaver membership should be referred to Medisaver for renewal unless a prior agreement has been made between the Provider and Medisaver.

      7. Agreement to Discount Fees: The Provider agrees to all negotiated discount fees between themselves and Medisaver, acknowledging that these fees may be subject to periodic review.

      8. Exclusivity of Discount Plans: Providers associated with the Medisaver Medical Discount Plan shall not offer alternative discount plans to Medisaver members. Any clinic wishing to offer discounts in exchange for a membership fee must possess the appropriate licensing from the Florida State Department of Insurance.

      9. Compliance with Regulations: Medisaver Medical Discount Plan is fully authorized by the Florida Insurance Regulation Department (DMPO) and must comply with all applicable regulations. Medisaver will provide the Provider with specific information regarding prices currently offered to members for further review.

      10. Marketing and Patient Recruitment: Medisaver will actively recruit a limited number of doctors from various fields of medicine to ensure a steady influx of patients to the Provider's office. Medisaver will also support all associated clinics through advertising efforts. All Medisaver members will receive a list of participating doctors and clinics, including specialties, addresses, and contact numbers. Members are encouraged to contact doctors directly for appointments to facilitate scheduling.

      11. Transparent Pricing: Medisaver will provide members with a comprehensive price list that details all services offered after discounts, ensuring members are aware of their financial obligations for each procedure. The price list accompanying this Agreement outlines general consultation fees and prices for lab work and other relevant procedures. The discounts provided must be lower than the standard prices for services available to non-members, typically ranging from 30% to 75%.

      (By signing this Agreement, the Provider acknowledges and accepts the terms and conditions as an associated medical provider of the Medisaver Medical Discount Plan.)

      Here are some additional terms that could be important to include in the agreement between the Medisaver Medical Discount Plan and the clinic or doctor:

      12. Confidentiality: Both parties agree to maintain the confidentiality of any patient information and proprietary business information exchanged during the term of this Agreement. This obligation shall survive the termination of the Agreement.

      13. Termination Clause: Either party may terminate this Agreement with written notice of 30 days to the other party. Upon termination, the Provider shall continue to honor any services provided to Medisaver members until the conclusion of their existing appointments.

      14. Indemnification: The Provider agrees to indemnify and hold harmless Medisaver from any claims, damages, or liabilities arising out of the Provider’s services, including but not limited to malpractice claims or breaches of this Agreement.

      15. Compliance with Laws: The Provider agrees to comply with all applicable federal, state, and local laws and regulations governing the practice of medicine, the provision of medical services, and the operation of medical facilities.

      16. Dispute Resolution: In the event of any disputes arising from this Agreement, both parties agree to first attempt resolution through informal negotiation. If resolution is not reached, the parties may proceed to mediation before seeking legal remedies.

      17. Changes to Terms: Any changes to the terms of this Agreement must be made in writing and signed by both parties. No verbal agreements or modifications will be recognized.

      18. Force Majeure: Neither party shall be held liable for any failure to perform its obligations under this Agreement if such failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, or other events of force majeure.

      19. Marketing Collaboration: Both parties agree to collaborate on marketing efforts to promote the Medisaver Medical Discount Plan and the Provider’s participation. This may include the use of logos, branding, and promotional materials in compliance with both parties' marketing guidelines.

      20. Non-Exclusive Agreement: This Agreement does not grant exclusivity to the Provider. Medisaver may enter into similar agreements with other healthcare providers and clinics.

      21. Record Keeping: The Provider agrees to maintain accurate records of services rendered to Medisaver members and to provide Medisaver with access to such records upon reasonable request for the purpose of ensuring compliance with the terms of this Agreement.
